Companies with Material Events This Week
● RXT – Will showcase its newly launched Rackspace Cloud platform at VMware Explore 2026 in Las Vegas from August 31–September 3, 2026. The fully managed multitenant cloud platform is powered by VMware Cloud Foundation 9.1 and is initially available in Dallas, with Northern Virginia and Chicago expected to follow. Management will also participate in the “VCF State of the Union: Optimizing Costs and Closing Security Gaps in the AI Era” session.
● CIIT – Is required to make an initial $250,000 payment on or before August 31, 2026 under a $500,000 equipment procurement agreement for Bitmain Model S21 XP cryptocurrency mining equipment. The remaining purchase price is payable following inspection of the delivered equipment, and the equipment is intended to support entry into cryptocurrency mining operations.
● PMA – Is targeting closing on or before August 31, 2026 for its $510 million acquisition of the entire issued share capital of Meals Through Seasons Limited, subject to due diligence, Nasdaq notification requirements, and other closing conditions. Consideration consists entirely of securities, including 150 million Class A ordinary shares valued contractually at $1.00 per share and $360 million of unsecured, non-interest-bearing convertible promissory notes. The notes are divided into three annual performance tranches and become convertible at $1.00 per share only if specified net-profit thresholds are achieved. An independent valuation report indicated a $515 million equity value as of June 30, although the report is not a fairness opinion.
● SNAL – Expects to release a PC-exclusive preview demo of Honeycomb: The World Beyond on August 31, 2026, ahead of the game’s planned September 8 commercial launch. The title was showcased alongside developing AAA projects at Gamescom 2026.
● KWM – Is targeting execution of a Share Purchase Agreement by the end of August 2026 for the proposed acquisition of a 50%-plus-one-share controlling interest in a privately held South Korean semiconductor-materials business. The transaction remains subject to completion of due diligence, definitive documentation, financing, regulatory approvals, and customary closing conditions.
● BRNS – Has a High Court hearing scheduled for September 1, 2026 regarding its proposed all-stock combination with Clywedog Therapeutics. The scheme of arrangement is expected to become effective September 3, when existing ADSs are expected to cease Nasdaq trading before market open. The Scheme Exchange Ratio has been fixed at 0.111, and following closing, the combined company is expected to operate as Clywedog Therapeutics Holdings and trade on Nasdaq under CLYD.
● STEX – Will participate as an Innovator Partner at the Real-World Asset Summit in Brooklyn, New York, from September 1–2, 2026. CEO Henry McPhie will participate in the panel “Commodities: The tokenization no-brainer?”, focused on institutional-scale commodity tokenization, infrastructure requirements, and fully reserved yield-bearing commodity products.
● GUTS – Will host a virtual Commercial Strategy Day on September 1, 2026 at 11:00 a.m. ET focused on the potential commercial opportunity and go-to-market strategy for Revita. The event follows positive one-year REMAIN-1 Midpoint Cohort data, including approximately 84% maintenance of GLP-1-induced weight loss in a prespecified optimized treatment population compared with 46% for sham.
● DWTX – Will host a virtual KOL event on September 1, 2026 at 10:00 a.m. ET focused on chemotherapy-induced neuropathic pain. Management and external experts will discuss unmet need, the current treatment landscape, and development considerations for its non-opioid pain program.

● AIMD – Will showcase its AI Nose and Atmosphere Engine Environmental Intelligence technologies at SEMICON Taiwan 2026 from September 2–4, 2026. The systems are designed to provide environmental sensing capabilities for Physical AI applications and will be exhibited with distribution partner Topco Scientific.
● SOAR – Entered into a definitive merger agreement on August 25, 2026 with Alignment Engine, under which the target’s securityholders are expected to receive securities representing approximately 95% of the combined company on an as-converted, fully diluted basis. Closing is subject to multiple conditions, including at least $2.95 million of unrestricted cash, receipt of a fairness opinion, specified liability thresholds, Aligned stockholder approval where required, and continued NYSE American eligibility. The agreement permits termination if closing has not occurred within seven business days following execution, implying an estimated outside date of approximately September 3, 2026, assuming business days are counted beginning August 26.
● CYCN – Set September 4, 2026 as the record date for its previously announced contingent value rights distribution associated with the planned merger with Korsana Biosciences. Holders of common stock and Series A preferred stock as of the close of business on that date will be eligible for the CVR distribution. ● CURI – Declared a third-quarter cash dividend of $0.085 per share, with a September 4, 2026 record date and September 18, 2026 payment date.
● SATL – Will conduct an international series of in-person meetings with investors, media, and partners beginning August 31, 2026 ahead of World Space Business Week. Scheduled stops this week include Washington, D.C. on September 2 and San Francisco from September 3–4.
● VWAV – Plans to unveil its development-stage DeepWave RF subsurface sensing initiative at AOW Energy 2026 in Accra, Ghana, from September 1–3, 2026. The technology combines radio-frequency sensing, artificial intelligence, software-defined radio architectures, and real-time computational modeling to assist with subsurface geological interpretation during drilling.
● OSTX – Expects to report interim three-year overall survival data in early September 2026 ahead of an MHRA Statistical Methods Scientific Advice Meeting concerning potential conditional Marketing Authorization Application submission acceptance criteria. The precise release date has not been specified.
● LPSN – Will reconvene its Special Meeting of Stockholders on September 2, 2026 at 10:00 a.m. ET to vote on the proposed merger with SoundHound AI after the August 20 meeting was adjourned due to insufficient votes for approval. Stockholders of record as of July 6 remain eligible to vote, and additional proxies are being solicited ahead of the reconvened meeting.
● VIVK – Reset the payment date for its previously announced special stock dividend to September 5, 2026 while leaving the record date and other terms unchanged.
