● NIXX – Entered into an amended binding LOI with Tachyon 9 for a proposed business combination creating a publicly traded AI and high-performance computing infrastructure platform. The transaction includes rights tied to a proposed 620-acre North Dakota campus targeting up to 1 GW of power, plus approximately $64 million in data-center equipment. Tachyon is preliminarily valued at about $1 billion, with its shareholders expected to own at least 90% of the combined company. The 30-day exclusivity period is expected to run through approximately July 15, with a potential $75 million PIPE financing also contemplated.
● NCPL – Entered into a non-binding LOI for a proposed acquisition of substantially all assets and liabilities of residential mortgage bank Resmac through a newly formed subsidiary. The proposed $5 million transaction would be paid entirely in preferred stock, with no cash or common-stock consideration. Due diligence is expected to run through approximately July 14–15, while exclusivity extends to late August. Closing remains subject to regulatory approvals, lender consents, licensing, board approval, and definitive agreements.
